PuraPharm® Club Loyalty Programme Terms and Conditions

PuraPharm Club Loyalty Programme (“Programme”) is operated by PuraPharm International (Hong Kong) Limited (“PuraPharm”, “we”, “our” or “us”).  By clicking the "I Agree" button (or any other similar button) below or by summiting an application for Membership to the Programme, you (“you”, “your”, “Applicant” or “Member”) shall be deemed to have read, accepted and agreed to abide by the below Terms and Conditions.  The Programme is only available in PuraPharm’s official online shop on https://eshop.purapharm.com/ within Hong Kong.

 

1. Applicable Terms 

    1.1.The Terms and Conditions of the Programme do not alter in any way the terms or conditions of any other agreement you may have with us, our parents, subsidiaries, affiliates, partners or licensors, including any agreement for products or services. By enrolling in the Programme, you also agree to be bound by our privacy policy at https://eshop.purapharm.com/en/policies/privacy-policy (“Privacy Policy”) and our official online store terms and conditions at https://eshop.purapharm.com/en/policies/terms-of-service , which are incorporated herein by reference (collectively the “Programme Terms”). 

    1.2.PuraPharm in its sole discretion can, restrict, suspend, amend, extend or otherwise alter the Programme Terms at any time and without prior notice. If the Programme Terms have been updated, PuraPharm will post the new Programme Terms on the PuraPharm’s official website and note the date that they are last updated. Members are responsible to check the latest Programme Terms on the PuraPharm’s official website regularly. PuraPharm shall not be liable for any loss or damage arising from the alternation of Terms and Condition of the Programme.

2. PuraPharm Club Membership (“Membership”) 

    2.1.An individual must be aged 18 or above to join the Programme (“Applicant”). Each Applicant can apply for one Membership account only. The Programme is available for personal use only and may not be used for any business or commercial purpose.

    2.2.There is no registration fee for joining the Programme. 

    2.3.If a Member abuses or misuses any of the rights and privileges under the Programme, makes any misrepresentation to PuraPharm, submits any documents which are not valid or genuine, or fails to comply with any of the Programme Terms, PuraPharm reserves the right to suspend or terminate the Member's membership, and to revoke or forfeit all or any of the bonus points that have been earned and accrued by the Member. 

    2.4.The eligibility criteria may be amended by PuraPharm from time to time at its sole discretion. PuraPharm reserves the right to refuse any membership application, determine the eligibility of any membership or terminate any Member’s membership in its sole discretion without giving reasons, and such decision shall be conclusive and final. 

3. Membership Application 

    3.1.In order to register for the Programme, an Applicant is required to fill in their personal information at PuraPharm official online store, and complete the email and SMS verification process to register as a PuraPharm Club Member (“Member”). 

    3.2.The name submitted for registration of membership must be the same as the one stated on the related identification documents. PuraPharm shall have the right to request the Applicant to present a valid identification document for verification. 

    3.3.Each valid mobile number and email address can be used by the Applicant for registration of the Programme once only. Any duplicate registrations will not be accepted. 

    3.4.If the Applicant is found to have registered and participated in the Programme with a mobile number or email address that is not owned by the Applicant legitimately, PuraPharm shall have the right to suspend or terminate such application or membership without prior notice. 

    3.5.The Applicant must ensure that all personal information submitted in the registration form is authentic, accurate, complete and not misleading.  

    3.6.Upon successful registration, a confirmation email will be sent to the registered email address of the Applicant as record. 

    3.7.A member will need to log-in the Membership account at PuraPharm official online store to review the Membership information, including but not limited to his points earned, transaction and redemption activities, Membership updates, messages from PuraPharm etc.

    3.8.Member shall safeguard the given Member ID and password relating to the Membership accounts. Member is fully responsible for any use of his Membership account by any third party (whether with or without the Member’s authorization). PuraPharm shall be entitled to deem that the user of the Membership Account has the authority to act for the Member in all matters (directly or indirectly) relating to the Programme. Member shall not allow or knowingly allow any other person to use the Membership Account (or any related information).

4. Membership and Validity

    4.1.There are four tiers of the Membership: Classic, Silver Diamond, Gold Diamond and Black Diamond. Each Member can only hold one Membership at a time.

    4.2.Membership upgrades and downgrades are automatically handled by the system, based on accumulated spending where delivery fee is excluded (“net spending”) as follow:

Classic  Upon the registration at PuraPharm official online store, and complete the verification process to activate the account
Silver Diamond HK$5,000 net spending in 12 months upon becoming a Classic Member or renewing as a Silver Diamond Member
Gold Diamond HK$15,000 net spending in 12 months upon becoming a Silver Diamond Member or renewing as a Gold Diamond Member
Black Diamond HK$40,000 net spending in 12 months upon becoming a Gold Diamond Member or renewing as a Black Diamond Member

   4.3.Silver Diamond, Gold Diamond and Black Diamond Memberships are valid for 12 months. Once a Member accumulates the required net spending within the membership effective period, his Membership will be automatically renewed or upgraded, according to the above membership requirement, for the next 12 months; conversely, if a member's accumulative net spending is less than the required amount, his/her membership will be downgraded to Classic. Membership effective period refers to the 12 months following the membership effective date, upgrade date or renewal date (i.e., if the effective date Silver Diamond was upgraded to Gold Diamond is 1 September, the expiry date will be 31 August the following year).

 

5. Points Calculation and Usage

    5.1.Classic members and Silver Diamond members can earn 1 point for every HKD 1 net spending on purchasing PuraPharm products in the PuraPharm official online store; Gold Diamond members can earn 1.5 points for every HKD 1 net spending; Black Diamond members can earn 2 points for every HK$1 net spending. Should there be any decimal place in the payment amount, it will be rounded down to the nearest dollar. PuraPharm reserves the sole discretion to change or modify the amount of points to be earned from net spending at any time without prior notice.

    5.2.Any purchase or spending settled by cash coupons, gift certificates, membership cards, gift cards and stored value cards cannot be used to earn points.

    5.3.Points will be added to the account within 7 working days after the order is shipped.

    5.4.Members can log in to PuraPharm official online store to check their point records.

    5.5.Points are valid for one year, counted from the date of earning. Once expired, unused points are forfeited.

    5.6.If no purchase at PuraPharm’s official online shop is recorded in the past 36 months, all unused points and any other accrued benefits of the Membership will be automatically forfeited.
 
    5.7.Points have no cash value and are not exchangeable for cash. Points cannot be sold, purchased, assigned, or transferred to others, nor can they be combined with other Member’s accounts.

    5.8.PuraPharm may, at its sole determination, deduct from Member any points in the following situations at any time with or without notice to the Member:

(a) Any points suspected to be fraudulently recorded or earned by Member;

(b) Any points recorded in error;

(c) Any points earned that are incorrect, non-compliant or in violation of the Programme Terms; and 

(d) Any points relating to a transaction which has been cancelled and/or refunded.

    5.9.When a Member accumulates certain points, the Member can redeem cash dollars or other vouchers, goods or services as offered by PuraPharm from time to time (collectively “Rewards”), subject to availability on a first-come first-served basis.

    5.10.The exchange rate for cash dollars is 100 points = HKD 1. Each redemption of cash dollars must be in multiples of 1,000 points. The cash dollars will be presented in the form of a discount code, with a validity period of 30 days. Once expired, the discount code will be no longer valid.

    5.11.When using the cash dollars, you must copy the available discount code and paste it on the relevant position of the shopping cart or directly click the "Add to Cart" button, and the corresponding cash dollars will be deducted from the purchase order. 

    5.12.The net shopping spending (excluding shipping fee) must be at least HK$500 in order to use the cash dollars.

    5.13.Requests for redeeming Rewards are subject to PuraPharm’s acceptance. If such request is accepted by PuraPharm, the required points will be deducted from the Member's account. Requests will be cancelled automatically in the event of insufficient points available for redemption in the Member’s account. 

    5.14.All Rewards are subject to availability and restrictions may apply as to where and when the Rewards may be redeemed. Collection and utilisation of the Rewards must be done within the validity period as specified on the redemption notification issued by PuraPharm. Any failure on the part of Member to do so for any reason whatsoever will result in the automatic forfeiture of the Reward concerned. For the avoidance of doubt, the points used in the redemption of the Reward will not be returned or credited back to the Member notwithstanding the failure to collect and/or utilise the Reward.

   5.15.PuraPharm reserves the right, at its sole discretion, to discontinue and/or to substitute any Reward at any time without notice prior.

    5.16.PuraPharm holds the final and accurate information about the point transaction data (accumulated points, date of accumulation, total amount used for redemption, redemption date, balance, etc.) for each Member. PuraPharm may make corrections to such information at any time in accordance with these Programme Terms without prior notice. 

6. Privacy Policy 

    6.1.PuraPharm values Members’ privacy. The personal data provided by Members in connection with the Programme, including but not limited to Membership registration, purchase transactions and Rewards redemption may be used and disclosed by PuraPharm for the purpose of the administration of the Programme, marketing in connection with the Programme, sending other marketing emails or text messages that Members have opted-in to receive, and/or for providing Members with services requested through the official online shop site, internal analysis and as otherwise permitted by our Privacy Policy. 

    6.2.In future, if Members would like to update or change any of their personal data, please update by visiting the Membership accounts online. Members have the right to access their personal data and the right to correct and/or update their personal data within their Membership accounts. 

    6.3.Each Member has the right to opt-out from receiving direct marketing materials and communications 
from PuraPharm in accordance with our Privacy Policy.

 

7. Disclaimers 

    7.1.NEITHER PURAPHARM NOT OUR PARENTS, SUBSIDIARIES, AFFILIATES, PARTNERS, OR LICENSORS MAKE ANY REPRESENTATIONS, WARRANTIES OR CONDITIONS OF ANY KIND WHATSOEVER, EXPRESS OR IMPLIED, IN CONNECTION WITH THESE PROGRAMMEME TERMS OR THE PROGRAMMEME OR ANY OF THE REWARDS OR BENEFITS ASSOCIATED WITH THE PROGRAMMEME INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT OR FITNESS FOR A PARTICULAR PURPOSE, EXCEPT TO THE EXTENT SUCH REPRESENTATIONS AND WARRANTIES ARE NOT LEGALLY EXCLUDABLE.

    7.2.MEMBERS AGREE THAT, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PURAPHARM NOR OUR PARENTS, SUBSIDIARIES, AFFILIATES, PARTNERS, OR LICENSORS WILL BE RESPONSIBLE OR LIABLE (WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE) UNDER ANY CIRCUMSTANCES FOR ANY
 
(A) INTERRUPTION OF BUSINESS;

(B) ACCESS DELAYS OR ACCESS INTERRUPTIONS TO THE PROGRAMME;

(C) DATA NON-DELIVERY, LOSS, THEFT, MISDELIVERY, CORRUPTION, DESTRUCTION OR OTHER MODIFICATION;

(D) LOSS OR DAMAGES OF ANY SORT INCURRED AS A RESULT OF DEALINGS WITH OR THE PRESENCE OF THIRD PARTY LINKS ON THE SITE OR USE OF ANY REWARD OR BENEFIT OF THE PROGRAMME;
 
(E) COMPUTER VIRUSES, SYSTEM FAILURES OR MALFUNCTIONS WHICH MAY OCCUR IN CONNECTION WITH THEIR USE OF THE SITE, INCLUDING DURING HYPERLINK TO OR FROM THIRD PARTY WEBSITES;

(F) ANY INACCURACIES OR OMISSIONS IN PROGRAMME CONTENT; OR

(G) EVENTS BEYOND OUR REASONABLE CONTROL. WE MAKE NO REPRESENTATIONS, WARRANTIES OR CONDITIONS THAT DEFECTS OR ERRORS WILL BE CORRECTED.
 
    7.3.TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PURAPHARM NOR OUR PARENTS, SUBSIDIARIES, AFFILIATES, PARTNERS, OR LICENSORS WILL BE LIABLE FOR ANY OR LOSSES OR COSTS OR ANY OTHER FORMS OF DIRECT OR INDIRECT, SPECIAL, PUNITIVE, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND (INCLUDING LOST PROFITS) RELATED TO THE PROGRAMME OR AND MEMBERS’ PARTICIPATION THEREIN AND/OR THE REDEMPTION AND USE OF REWARDS, REGARDLESS OF THE FORM OF ACTION WHETHER IN CONTRACT, IN TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND IN NO EVENT SHALL OUR MAXIMUM AGGREGATE LIABILITY EXCEED HONG KONG DOLLAR ONE THOUSAND DOLLARS (HK$1,000.00).
 
    7.4.MEMBERS AGREE THAT NO CLAIMS OR ACTION IN CONTRACT, WARRANTY, OR IN TORT (INCLUDING NEGLIGENCE) ARISING OUT OF, OR RELATED TO, MEMBERS’ PARTICIPATION IN THE PROGRAMME, USE OF ANY REWARDS OR OTHER BENEFIT OR THESE TERMS MAY BE BROUGHT BY ANY MEMBER MORE THAN ONE (1) YEAR AFTER THE CAUSE OF ACTION RELATING TO SUCH CLAIM OR ACTION AROSE. IF MEMBERS ARE DISSATISFIED WITH THE PROGRAMME, TERMINATION OF THEIR MEMBERSHIP IN THE PROGRAMME IS THE SOLE REMEDY. PURAPHARM HAS NO OTHER OBLIGATION, LIABILITY, OR RESPONSIBILITY.

8. Indemnification

    8.1.Member agrees to defend, indemnify and hold us, our parents, subsidiaries, affiliates, partners, licensors, officers, directors, employees, and agents harmless for any loss, damages or costs, including reasonable attorneys' fees, resulting from any third party claim, action, or demand resulting from his participation in the Programme or his breach of any of these Programme Terms.

9. General Terms and Conditions

    9.1.PuraPharm reserves the right to refuse any membership application, determine the eligibility of any Membership or terminate any Member’s membership in its sole discretion, and such decision shall be conclusive and final.

    9.3.PuraPharm reserves the right, in its sole discretion, to terminate or suspend the Programme or any aspect or feature of the Programme, or amend any aspect or feature of the Programme, the bonus points registration method, redemption mechanism and expiry date, and the available quantities of any Rewards at any time without prior notice. 

    9.4.PuraPharm’s failure to enforce a particular term herein does not constitute a waiver of that term by PuraPharm. 

    9.5.These Programme Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region.

    9.6.Should there be any discrepancy or inconsistency between the English and the Chinese versions of these Programme Terms, the English version shall prevail.
